Welcome to Zuma Property Management (“Company,” “we,” “us,” or “our”) and our website https://zumaproperty.com (the “Site”).

These Terms & Conditions (this “Agreement”) govern your access to and use of the Site and any related services (collectively, the “Service”), including the ability to book short-term rental properties through our platform (the “Properties”). By accessing or using the Service, you (the “User,” “you,” or “your”) agree to be legally bound by this Agreement and our Privacy Policy.

If you do not agree with any part of this Agreement, you must not access or use the Service.

1. Service Overview

1.1 Guests: Through the Service you may request, reserve, and stay in short-term rental properties managed by Zuma Property Management on behalf of property owners. A reservation (“Reservation”) is confirmed when we (or a third-party booking platform integrated with us) send you a confirmation and you pay the required fees.

1.2 No Tenancy: This Agreement does not create a lease or tenancy. You are granted a license to occupy the booked Property for the limited period and conditions set by your Reservation, subject to your compliance with this Agreement, any house rules, and any Additional Terms (as defined below).

2. Eligibility

You affirm that you are at least 18 years old and have the legal capacity to enter into this Agreement. If you are acting on behalf of an entity, you represent and warrant you are authorized to bind that entity. Your use of the Service must comply with this Agreement and all applicable laws, rules, and regulations.

3. Use of the Site & Registration

Since our Service is designed for direct bookings, you may not be required to create an account. Where registration is required or you provide information for a booking, you agree that all information you submit is accurate, current, and complete.

4. Reservation, Fee Payment & Cancellation

4.1 Reservation Confirmation: A binding Reservation arises only when we (or a third-party platform acting on our behalf) send you a booking confirmation and you have paid the required fees. Until then, the Property remains available, and we reserve the right to cancel or modify the listing.

4.2 Fees & Payment: You agree to pay all fees to secure your Reservation, including rental amounts, cleaning fees, damage deposits (if any), service fees, taxes, and any other applicable charges. Payment processing is handled via Stripe.

4.3 Cancellation Policy: Your right to cancel a Reservation, and any refund of payments, will be governed by the cancellation policy disclosed in your booking confirmation or the listing. Please review the cancellation terms carefully before booking.

4.4 Modifications: Changes to your Reservation may incur additional fees, subject to availability. Any changes must be agreed in writing by us.

4.5 No-Show / Default: If you fail to arrive for your Reservation at the scheduled time without prior notification, we may treat it as a cancellation or no-show, in which case fees may not be refunded.

5. License to Use the Property

Subject to your compliance with this Agreement, you are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the booked Property during the confirmed period and for the number of occupants permitted. We reserve the right to enter the Property at any time under circumstances such as maintenance, emergencies, or suspected violations of this Agreement.

6. Your Conduct & Guest Responsibilities

6.1 Compliance & Use: You and your guests must comply with all rules, house policies, local laws, and regulations.

6.2 Prohibited Conduct: You agree not to:

  1. Use the Property or Service for any illegal purpose.
  2. Resell, transfer, or allow unauthorized use of your Reservation.
  3. Cause damage, disturbance, or nuisance to neighbors.
  4. Use automated methods (e.g., bots) to access or interfere with the Site.
  5. Misrepresent your identity or booking details.
  6. 6.3 Damage & Loss: You accept responsibility for any damage caused by you or your guests, and we may charge you for repairs or replacement costs.
  7. 6.4 Safety Features: The Property may include devices like smoke detectors, CO detectors, sound monitors, or surveillance in common areas. You agree not to tamper with such devices.

7. Intellectual Property

All content on the Site and related materials (including images, text, design, code, trademarks) is owned by or licensed to Zuma Property Management. Except as expressly authorized, you may not use, copy, reproduce, or disseminate any portion of the Site or its content.

8. User Content

If you provide feedback, reviews, photographs, or other content (collectively, “User Content”), you retain ownership of your contribution, but you grant us a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, publish, distribute, and display it in any media. You represent that your User Content is your own or you have permissions, and it does not infringe any rights of third parties.

9. Third-Party Services & Links

We may provide links or integrations with third-party platforms (e.g., booking platforms, payment processors). We are not responsible for the policies or performance of such third parties. You are subject to their terms when using their services.

10. Disclaimer of Warranties

The Service, the Properties, and all materials are provided “AS IS” and “AS AVAILABLE”. We disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not guarantee continuous, secure, error-free access.

11. Limitation of Liability

To the fullest extent permitted by law:

  1. We and our owners, affiliates, agents, and licensors are not liable for indirect, incidental, special, punitive, or consequential damages (including loss of profits or reputation).
  2. Our total aggregate liability for all claims related to this Agreement, the Service, or Properties is limited to the greater of: (a) the amount you paid to us for your Reservation in the 12 months preceding the claim; or (b) US $250.
  3. Nothing in this Agreement limits liability that cannot lawfully be limited.

12. Indemnification

You agree to defend, indemnify, and hold harmless Zuma Property Management, its officers, employees, agents and affiliates from and against all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys’ fees) arising from or related to your use of the Service, your breach of this Agreement, your negligence or willful misconduct, or any damage or injury caused by you or your guests.

13. Term & Termination

This Agreement becomes effective when you access or use the Service and remains in effect until terminated. We may suspend or terminate your access to the Service or any Reservation at any time, with or without reason. Upon termination, you must cease use of the Service and fulfill any outstanding payment obligations.

14. Modification of the Service

We reserve the right to modify or discontinue the Service (or any part thereof) at any time without notice. We will not be liable to you for any modification or discontinuation of the Service.

15. Governing Law & Dispute Resolution

This Agreement and any dispute related hereto shall be governed by the laws of the State of Colorado, without regard to its conflict of law principles. You and we agree to submit to the exclusive jurisdiction of the state and federal courts located in Colorado.

16. Miscellaneous

  1. Entire Agreement: This Agreement (together with our Privacy Policy and any additional terms) constitutes the entire agreement between you and us regarding the Service and Properties.
  2. Severability: If any provision is found invalid or unenforceable, the remainder will remain in full force.
  3. Assignment: You may not assign your rights under this Agreement without our written consent. We may assign our rights at any time.
  4. No Waiver: Our failure to enforce any provision of this Agreement does not waive our right to enforce it later.
  5. Force Majeure: We are not liable for delays or failures due to causes beyond our reasonable control (e.g., natural disasters, pandemics, acts of government, war, strikes).
